購(Tesco PLC, TSCO.LN)週三表示，已與華潤創業有限公司(China Resources Enterprise Ltd., 0291.HK, 簡稱﹕華潤創業)達成最終協定，雙方將合併在中國的零售業務，締造一家領先的多元化零售商。

樂購上月曾公佈，正與華潤創業就組建一家合資公司進行商談。

樂購稱，該合資公司將把樂購在中國的134家門店和購物中心業務與2,986家華潤萬家(China Resources Vanguard)門店進行合併，合併交易將帶來顯著協同效益。

樂購將向該合資公司提供1.85億英鎊（合2.999億美元）現金，同時在交易完成時向華潤創業支付8,000萬英鎊，在交易完成一年後再支付8,000萬英鎊。

樂購稱，將在合資公司獲得兩個董事會席位。該合資公司最多將設10名董事。

預計交易將在2014年上半年完成，前提是獲得監管部門和華潤創業股東的批準。

樂購在倫敦上市的股票週二收於每股359便士，市值為290.2億英鎊。
